Right of first refusal
When the licensee is interested, but may not be willing to accept a license, so the licensor may decide to offer a right of first refusal, upon receiving an offer from another party, it has to offer the license to the first party. If the first party rejects the offer, it can accept the second offer and grant the license to the second party.
